By using HeatLens or registering as a business, you agree to these terms. We've written them in plain language on purpose.

1. What HeatLens is. HeatLens is a free heat-risk mapping tool and an independent platform that connects cities and counties ("Cities") with businesses that provide cooling solutions such as tree planting, shade, cool roofing, and cool pavement ("Businesses"). HeatLens is a software and market-intelligence service. It is not a party to any agreement, contract, or project between a City and a Business.

2. Free for Cities. HeatLens is, and will remain, free for Cities, residents, and the public.

3. Fees for Businesses. Registering is free. By registering, a Business agrees that if it accepts a City match through the HeatLens platform, it will pay the flat fee in HeatLens's then-current fee schedule (shared before any match is offered). The fee is earned at the moment the Business accepts the match; HeatLens's role is complete at that point. It is a flat amount for the facilitated introduction — not a percentage of any contract, and not contingent on whether the Business receives, wins, or completes any contract, project, or public award.

4. Payment. Where a fee applies, HeatLens invoices the Business, payable within 30 days. HeatLens does not collect payment-card or bank information through this website.

5. No guarantee. HeatLens provides connections and information. We do not guarantee any engagement results in a contract, project, or revenue.

6. Screening tool, not an assessment. HeatLens scores come from public federal satellite data for screening and planning. They are area-level averages, not a substitute for professional, site-specific assessment.

7. Your responsibilities. Businesses are solely responsible for complying with all applicable procurement, contracting, licensing, and anti-kickback laws.

8. "As is." HeatLens is provided "as is," without warranties of any kind.

9. Limitation of liability. To the fullest extent permitted by law, HeatLens and its creator are not liable for any indirect, incidental, or consequential damages arising from use of the service or any interaction between a City and a Business.

10. Changes. We may update these terms and the fee schedule; the posted version governs.

11. Governing law. These terms are governed by the laws of the State of Michigan.
